These Marketplace Seller Terms and Conditions constitute a legally binding agreement under the Information Technology Act, 2000, the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection (DPDP) Act, 2023.
1. Onboarding, Registration, and Eligibility
- Business Eligibility: Sellers must be legally registered corporate entities, LLPs, partnership firms, or sole proprietorships operating in India.
- Documentation: Sellers must provide verified copies of their GSTIN, PAN, corporate registration, bank account details, and trademark certificates (if applicable) during onboarding.
- Account Responsibility: Sellers are entirely responsible for maintaining the confidentiality of their portal credentials and for all inventory listings uploaded through their account.
2. Product Listings and Cataloguing
- Accuracy of Information: Sellers must provide 100% accurate product descriptions, specifications, pricing, stock availability, and high-quality images.
- Prohibited Goods: Sellers shall not list refurbished, counterfeit, replica, or illegally imported electronics. All items must be brand new and genuine.
- MRP and Taxes: Listed prices must not exceed the Maximum Retail Price (MRP) printed on the product packaging. Prices must be inclusive of all applicable GST slabs.
3. Order Fulfillment and Delivery Support
- Fulfillment Window: Sellers must pack and hand over ordered products to the platform's designated logistics partners within 24 to 48 hours of receiving the order notification.
- Packaging Standards: Sellers must adhere to the platform's electronic-safe packaging guidelines to prevent transit damage.
- Delay Penalties: Failure to hand over products within the stipulated window may result in order cancellation and a late-fulfillment penalty of INR [to be confirmed] per order.
4. Third-Party Installation Interactivity
- Service Facilitation: The platform connects buyers with third-party local technicians to install products sold by the Seller.
- Seller Inclusions: Sellers must ensure the product box includes all standard, necessary installation components (e.g., wall mounts, brackets, cables, or screws) as promised in the online product listing.
- Component Discrepancy: If an installation fails because the Seller omitted a standard packaged accessory, the Seller will be liable to pay the INR 250 cancellation fee to the technician on behalf of the customer, and the order may be subject to a return.
5. Returns, 7-Day Window, and Wallet Settlements
- Acceptance of Returns: Sellers are legally bound to accept customer returns initiated within our 7-day return window for items that are unused or received damaged.
- Partial Returns & Discretion: If our Mumbai warehouse identifies missing minor packaging elements, the Partial Refund Clause rules will apply. The final deduction amount credited back to the customer's app wallet will be reflected proportionately in the Seller's payout.
- Reverse Logistics Costs: The cost of reverse shipping for returned items will be billed to the Seller if the return is due to a Seller fault (e.g., wrong item sent, defective product, or missing components).
6. Marketplace Commission and Payout Cycle
- Platform Fees: The platform will deduct a fixed Marketplace Commission fee of [to be confirmed]% plus applicable GST on every successful sale.
- Wallet-Based Settlements: Since customer transactions are prepaid and refunds are managed via App Wallet Credits, Seller payouts will be calculated on a monthly cycle.
- Payout Release: Funds will be transferred directly to the Seller's registered bank account only after the 7-day customer return window has cleared for that specific order.
7. Customer Privacy and Anti-Discrimination
- Data Privacy (DPDP Act): Sellers are strictly prohibited from copying, storing, or using customer delivery addresses, names, or phone numbers for independent marketing or off-platform communication.
- Anti-Discrimination & Code of Conduct: Sellers shall not interact with, address, or treat platform staff, logistics partners, or local technicians with bias or discrimination based on caste, race, religion, color, gender, or regional origin. Breach of this policy results in immediate store suspension.
8. Indemnity and Limitation of Liability
- Product Liability: The Seller completely indemnifies the platform against all legal claims, consumer court disputes, or damages arising out of manufacturing defects, patent/trademark infringements, or product malfunctions.
- Platform Liability Cap: The platform's maximum aggregate liability to any Seller for any operational dispute is limited strictly to the commission fee earned by the platform from that specific transaction.
9. Governing Law and Termination
- Mumbai Jurisdiction: This agreement is governed by Indian law. All legal disputes between the Seller and the platform are subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.
- Account Termination: The platform reserves the absolute right to suspend or permanently terminate a Seller's account with a 7-day notice for high return rates, counterfeit listings, or policy violations.
